Terms of Service

Hectile is operated by Zealsync Private Limited. These Terms are the agreement between Zealsync Private Limited (“Zealsync”, “we”) and the person or business using Hectile. Please read them together with the Privacy Policy, the Acceptable Use Policy and the Refund & Cancellation Policy.

1.Who these Terms are between, and acceptance

Hectile is provided by Zealsync Private Limited, 11/131, Elanthoor, Pathanamthitta – 689643, Kerala, India. You accept these Terms when you create an account, join an Organization, or use hectile.com or the Hectile application. If you accept on behalf of a business, “you” means that business and you confirm you are authorized to bind it.

Capitalized terms follow the product: an Organization is one legal business; a Brand is a trading name inside an Organization; Admins and Members are the two membership roles; Invoices and Estimates (including quotations) are the documents Hectile produces; a Draft is a document that has not yet been finalized.

2.Eligibility and authority to act for an Organization

Hectile is a business tool. You may use it only in the course of a trade, business or profession, and only if you are able to enter into a binding contract under the law that applies to you.

The person who creates an Organization must be entitled to act for that legal business. Admins are responsible for who they invite, for the roles they assign and for keeping the Organization’s legal details accurate. Hectile relies on the Organization’s own statements about its identity and tax status and does not verify them.

3.Accounts, security and Organization administration

You are responsible for the activity that occurs under your account and for keeping your sign-in credentials confidential. Tell us promptly through Contact → Security report if you believe your account has been used without your permission.

Each Organization is a separate tenant with its own subscription and its own members (up to 20). Admins can manage Organization details, Brands, tax profiles, members and billing; Members can create and manage documents, customers and Items. Membership is Organization-wide; Hectile does not offer Brand-restricted access. Admins may remove Members at any time. The list of what each role can do is in the Team Members guide.

4.The Service

Hectile lets an Organization create, finalize, send and track Invoices and Estimates, under one or more Brands, in the currency each customer expects, with reusable customers, Items and tax profiles, and record payments it has received. Where these features are available to it, an Organization can also set up recurring invoices, which Hectile creates on the schedule the Organization chooses — as Drafts, or issued and, where the Organization turns this on, sent automatically — and payment reminders, which Hectile emails on the rules the Organization sets. Hectile is not an accounting, bookkeeping, tax-filing or payment-collection service, and does not calculate the tax treatment that applies to your transactions. You remain responsible for the accuracy and legal compliance of every document you issue.

What is included in a subscription and in the trial is described on the Pricing page, which we may update over time; the version shown when you activate a subscription applies to that subscription period.

5.Your content, permissions and responsibilities

You own the content you and your Organization put into Hectile — Organization and Brand details, customer records, Items, documents and payment records (“Customer Content”). You grant Zealsync permission to host, copy, transmit, display and process Customer Content only as needed to provide, secure and support the service for your Organization, to comply with law and as described in the Privacy Policy. That permission ends when the content is deleted from the service, except for copies we must keep by law or that remain in routine backups until those backups expire.

You confirm that you have the right to use the customer details you enter and to send documents to the recipients you choose, and that your use complies with the Acceptable Use Policy.

Zealsync does not claim ownership of your documents and does not train any model of its own on Customer Content. The terms on which an AI model provider handles request content are described in section 7.

6.Invoices, Estimates and your review

Documents start as Drafts. A Draft receives its number and becomes an issued document only when a member of your Organization finalizes it, or when a recurring invoice that your Organization set up to be finalized automatically runs on its schedule. Issued documents keep a snapshot of the customer, Brand and line details as they were at finalization; their financial details cannot be edited afterwards. An issued Invoice can be cancelled with a stated reason and a corrected Invoice issued. Hectile assigns numbers in sequence per Brand and does not reuse them.

Payments recorded in Hectile are records of money your customer paid you outside Hectile — by bank transfer, cash, cheque, card terminal or any other method you accept. Hectile does not receive, hold or transfer those funds. These payment records are entirely separate from the payments you make for your Hectile subscription (section 8).

You are responsible for reviewing every document before you finalize or send it, including amounts, taxes, currency, recipient and payment instructions. Recurring invoices and payment reminders act without a person reviewing each document or email: before you turn on automatic finalizing, sending or reminders, review the template, its recipients and its schedule, and keep them up to date. Each document finalized and each email sent that way is treated as if your Organization had finalized or sent it itself. You can pause or end them at any time.

7.AI-assisted Drafts and human responsibility

Where AI features are available, you can describe a document in plain language and Hectile will propose a Draft, or you can ask for a suggested line description, note or terms text, using a third-party AI model. A proposal or suggestion is exactly that — something for your review; a suggestion is used only if you choose to use it, and suggested terms are a starting point, not legal advice. AI never finalizes, sends or records payment for a document, and AI output may be incomplete or wrong. You are responsible for checking a Draft before finalizing it, exactly as with a Draft you typed yourself.

Your request text and the other limited details listed on the Subprocessors page are sent through Vercel’s AI Gateway to Anthropic’s model for model execution only. These providers and the terms that govern their retention and use of request content are published on the Subprocessors page and in the Privacy Policy; by using AI features you accept the terms published there at that time.

AI actions count against your Organization’s monthly allowance as described on the Pricing page. Actions that fail because of a provider error are not charged against your allowance. We may change, limit or suspend AI features, including where a provider is unavailable, and we may set fair-use limits to prevent abuse.

8.Trial, subscription and payment for Hectile

Hectile is sold as one subscription per Organization, billed monthly or yearly, at the price and in the currency that apply to the Organization’s billing country as shown on the Pricing page and confirmed at checkout. AI Boost is an optional monthly add-on. Subscription payments are processed by our subscription-billing provider acting as merchant of record; by subscribing you also accept that provider’s payment terms as presented at checkout. Applicable taxes are shown at checkout.

A 7-day trial is available for your first eligible owned Organization. Starting it requires adding a verified payment method; nothing is charged during the trial. The trial includes one Primary Brand, one member and a limited number of AI actions. A second owned Organization does not receive a trial. When the trial ends, the subscription you chose when starting it (monthly or yearly) begins automatically and your payment method is charged, unless you cancelled before the trial ended. We send a reminder about 24 hours before that first charge. If you cancel during the trial you are not charged, the trial runs to its end, and the Organization then moves to read-only access (section 11). Paid access begins only once the first charge is confirmed by our billing provider; if it fails or is not yet confirmed, the Organization is read-only until it is. Some Indian bank and UPI payments take up to about two days to confirm after the charge; until the first payment is confirmed the Organization stays read-only, and it gains no extra paid access while it waits.

A subscription continues for successive billing periods until an Admin cancels renewal. Cancellation, the 14-day refund right on a first subscription purchase, renewal refunds and AI Boost refunds are set out in the Refund & Cancellation Policy, which forms part of these Terms. The only prorated refund is the one provided by the Data Processing Addendum (section 6) when an Organization cancels because an objection to a new Subprocessor could not be resolved. If we change the price of a subscription, the new price applies from your next renewal after we have given you at least 30 days’ notice by email or in the application. If a renewal payment fails, we will tell you and allow a short period to update your payment details before the Organization moves to read-only access.

9.Acceptable use

You must use Hectile lawfully and in line with the Acceptable Use Policy, which forms part of these Terms. In summary: no fraudulent or deceptive documents, no spam or unsolicited bulk sending, no abuse of trials or limits, no attempts to access other Organizations’ data or to interfere with the service, and no misuse of AI-generated content. Unlimited documents on a paid plan means unlimited legitimate invoicing, not a licence for abusive automation.

10.Service changes, suspension and termination

We may improve or change Hectile over time. We will give at least 30 days’ notice before removing a core capability that your subscription relies on.

You may stop using Hectile at any time and may cancel an Organization’s subscription as described in the Refund & Cancellation Policy.

We may suspend or restrict an account or Organization where we reasonably believe there is a material breach of these Terms or the Acceptable Use Policy, a security risk, a legal requirement, or non-payment after the period allowed in section 8. Except where a delay would cause serious harm to others or breach the law, we will tell you the reason and give you at least 7 days to fix the problem before suspending, and you may respond to us through Contact Legal. We will not delete Customer Content as part of a suspension.

We may terminate an Organization’s access where a suspension is not resolved within 30 days, or immediately where the breach is fraudulent or unlawful. On termination, section 11 applies.

11.Your data after a subscription ends or is terminated

When a subscription ends, the Organization moves to read-only access: members can sign in, view and search records, download issued PDFs and existing document links keep working, while creating, editing, finalizing, sending, recording payments, inviting members and AI actions are paused. Records are not deleted automatically, and you can reactivate a subscription to resume full access.

An Admin can at any time — including after the subscription has ended, with no deadline — ask us to delete the Organization and its content through Contact Legal. Retention criteria, what happens on account closure and how verified deletion requests are handled are described in the Privacy Policy.

12.Intellectual property

Hectile, its software, design, templates and brand are owned by Zealsync Private Limited or its licensors and are protected by intellectual-property laws. These Terms do not transfer any of those rights to you. You may not copy, modify, reverse-engineer or resell the service, or use the Hectile name or marks without our written permission. Documents you produce with Hectile, and the Brand names and logos you upload, remain yours.

If you send us feedback or suggestions, we may use them to improve Hectile without obligation to you.

13.Warranties and disclaimers

We will provide Hectile with reasonable skill and care. Otherwise, to the extent permitted by law, Hectile is provided “as is” and we do not promise that it will be uninterrupted, error-free or suitable for a particular purpose, that documents produced with it will meet the legal requirements of any jurisdiction, or that AI-generated proposals will be accurate. Nothing in these Terms limits rights you have under law that cannot be excluded by agreement.

14.Liability

Nothing in these Terms excludes or limits liability for fraud, for death or personal injury caused by negligence, or for any liability that cannot be excluded or limited under applicable law.

Subject to that, and to the extent permitted by law: we are not liable for indirect or consequential loss, loss of profit, revenue or business, or loss of data that you could have avoided by downloading your issued documents; and our total liability to an Organization for all claims arising in any 12-month period is limited to the subscription fees that Organization paid to us for Hectile in that period. You are responsible for the content of the documents you issue and for the lawfulness of the information you enter, and you will compensate us for third-party claims that arise from your breach of section 5 or of the Acceptable Use Policy.

15.Governing law, disputes and notices

These Terms are governed by the laws of India. Subject to any mandatory rights or jurisdiction that applicable law gives you, disputes will be subject to the jurisdiction of competent courts in Kerala, India. Before starting formal proceedings, each party agrees to contact the other and attempt in good faith to resolve the matter.

Legal notices to Zealsync must be sent through Contact Legal or by post to Zealsync Private Limited, 11/131, Elanthoor, Pathanamthitta – 689643, Kerala, India. Notices to you will be sent to the email address on your account or shown in the application.

16.Changes to these Terms and contact

We may update these Terms. The effective date at the top of this page shows the version in force. If a change materially reduces your rights or increases your obligations, we will notify account holders at least 30 days in advance through the application or by email, and continued use after the effective date means you accept the change. If you do not agree, stop using Hectile and cancel any subscription before the change takes effect.

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, the Acceptable Use Policy, the Privacy Policy, the Refund & Cancellation Policy and — for Organizations that require it — the Data Processing Addendum are the whole agreement between you and Zealsync for the service.
